JIEHUI ASPEN INC provides professional computer systems design and integration services, including but not limited to systems architecture consulting, cloud infrastructure design and deployment, cybersecurity engineering, data engineering and analytics platform development, DevOps automation and CI/CD pipeline engineering, managed IT services and operations support, and related technical consulting and advisory services.

The specific scope, deliverables, timeline, and fees for any professional services engagement shall be defined in a separate Statement of Work (SOW), Master Services Agreement (MSA), or other written agreement executed by both parties. In the event of any conflict between these Terms and a separately executed SOW or MSA, the terms of the executed agreement shall govern with respect to the specific services described therein.

3. Intellectual Property Rights

Our Intellectual Property: Unless otherwise explicitly stated in a written agreement, the Website, its entire contents, features, and functionality — including but not limited to all information, software, text, displays, images, video, audio, design, layout, selection, and arrangement thereof — are owned by JIEHUI ASPEN INC, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Your Use of Our IP: These Terms permit you to use the Website for your personal, non-commercial use only. 4. User Representations and Obligations

11. Indemnification

Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.

12. Governing Law and Dispute Resolution

These Terms and your use of the Website and Services shall be governed by and construed in accordance with the laws of the State of Utah, United States, without regard to its conflict of law principles. Any legal action of whatever nature brought by either you or us shall be commenced or prosecuted exclusively in the state and federal courts located in Salt Lake County, Utah, and the parties hereby consent to, and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to venue and jurisdiction in such courts.

Informal Resolution: Before resorting to formal dispute resolution, you agree to first contact us directly at chat@jiehuiaspen.buzz and attempt to resolve the dispute informally. We will attempt to resolve the dispute informally by contacting you via email. If the dispute is not resolved within 60 days of submission, either party may proceed with formal dispute resolution.

Binding Arbitration: Any dispute arising out of or relating to these Terms or the Services shall be finally settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Salt Lake City, Utah, and judgment on the award may be entered in any court having jurisdiction. YOU AGREE TO WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

13. Term and Termination

These Terms shall remain in full force and effect while you use the Website and Services. Without limiting any other provision of these Terms, we reserve the right to, in our sole discretion and without notice or liability, deny access to and use of the Website and Services to any person for any reason or for no reason, including without limitation for breach of any representation, warranty, or covenant contained in these Terms or of any applicable law or regulation. We may terminate your use of the Website and Services by deleting your information and barring you from further use at any time, without warning, in our sole discretion.

No Waiver: No failure or delay by JIEHUI ASPEN INC in exercising any right, power, or privilege under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise preclude any other or further exercise.

Assignment: You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign or transfer these Terms at our sole discretion without restriction.

Entire Agreement: These Terms, together with our Privacy Policy and any separately executed professional services agreements, constitute the entire agreement between you and JIEHUI ASPEN INC regarding the Website and Services and supersede all prior and contemporaneous understandings and agreements.

Electronic Communications: Visiting the Website, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communication be in writing.

Force Majeure: We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
